Define By Detail
These Terms & Conditions (“Terms”) apply to all services provided by Define By Detail (“the Studio”, “we”, “us”, “our”) to the client (“you”, “the Client”).
About the Studio
Define By Detail is an Australian-based creative studio offering branding and website design services for businesses, digital design services, and on-the-day iPhone content capture for weddings and events.
These Terms apply to all services unless otherwise agreed in writing.
Booking & Payment
On-the-Day Content Capture (Weddings & Events)To secure an event date, a 50% non-refundable retainer is required at the time of booking. The remaining balance is due no later than seven (7) days prior to the event date. Bookings are not confirmed until the retainer has been received.
The retainer secures the event date exclusively and covers pre-event preparation, planning, and the reservation of availability. For this reason, the retainer is non-refundable in the event of cancellation.
In rare and genuinely unforeseen circumstances, the Studio may, at its sole discretion, review the retainer on a case-by-case basis. Cancellations due to change of mind, scheduling conflicts, or cancellations made within fourteen (14) days of the event date are not eligible for partial refunds.
If the remaining balance is not received by the due date, the Studio reserves the right to cancel the booking and retain the retainer.
Branding, Website Design & Identity ServicesFor branding, website design, and identity projects, a 50% non-refundable retainer is required prior to commencement to secure your project booking. The remaining balance is due prior to the release of final approved files or website handover, unless otherwise outlined in your proposal or invoice.
Brand board design and other standalone digital brand assets require payment in full prior to commencement.
The retainer secures studio design time, creative planning, and project scheduling. As such, it is non-refundable once work has commenced.
In some cases, staged payments or payment in full at commencement may apply depending on the scope of the project. All payment structures will be outlined prior to commencement.
Due to the creative and digital nature of these services, all payments are non-refundable once work has commenced, except where required by Australian Consumer Law.
Digital Design Services (Monograms & Invitations)Monogram and digital invitation design services require payment in full prior to commencement. Payment confirms the booking of the project and authorises the Studio to begin work and release digital design files.
Scope of Services
Services are delivered as outlined in the agreed proposal, package, or written correspondence. Any services, deliverables, or revisions requested outside the agreed scope may incur additional fees and will be discussed prior to commencement.
For on-the-day content capture:
Services are limited to iPhone-based content capture
The Studio does not provide professional photography or videography services
Specific shots, moments, or outcomes are not guaranteed
Coverage is limited to the agreed booking duration
Cancellations, Rescheduling & No-Shows
If the Client requests to reschedule a booking, the Studio will make reasonable efforts to accommodate the new date, subject to availability. Rescheduling is not guaranteed.
Failure to attend, provide access, or proceed with the agreed services on the confirmed date will be treated as a cancellation, and no refunds will apply.
Delivery & Turnaround
Unless otherwise agreed in writing:
All intellectual property, including concepts, designs, drafts, working files, and unused materials created by Define By Detail, remain the property of the Studio.
Upon receipt of full payment, the Client is granted a non-exclusive, perpetual licence to use the final approved deliverables for their intended business and marketing purposes.
This licence allows use of the final deliverables for the Client’s own business and marketing purposes only and does not extend to resale or distribution as a separate product.
Define By Detail retains the right to display completed work, including branding, websites, and on-the-day content, for portfolio, website, social media, awards, and promotional purposes, unless otherwise agreed in writing prior to project commencement.
Copyright ownership remains with the Studio unless explicitly transferred under a separate written agreement, which may be subject to an additional fee.
Delivery timelines are estimates only and may vary depending on project scope, feedback timelines, and external factors outside the Studio’s control.
For on-the-day content capture, delivery timelines are outlined in the selected package. The Studio is not liable for delays caused by unforeseen circumstances, technical issues, or third-party restrictions.
Intellectual Property & Usage Rights
Client Responsibilities
The Client agrees to:
Provide accurate information and timely feedback
Secure any required permissions, approvals, or venue access
Ensure conditions allow the Studio to perform services safely and effectively
Delays caused by the Client may impact timelines and delivery.
Limitation of Liability
To the maximum extent permitted by law:
The Studio is not liable for indirect, incidental, or consequential loss
Liability is limited to the total fees paid for the relevant service
The Studio is not responsible for loss due to equipment failure, venue restrictions, weather conditions, or actions of third parties beyond its control
Force Majeure
The Studio is not liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to illness, natural disasters, venue closures, government restrictions, or technical failure.
Privacy
The Studio respects your privacy and handles personal information in accordance with applicable privacy laws. Client information will not be shared with third parties except where required to deliver services or where required by law.
Governing Law
These Terms are governed by the laws of Australia, and the parties submit to the exclusive jurisdiction of the courts of Australia.
Amendments
Define By Detail reserves the right to update these Terms at any time. The version published on the website at the time of booking will apply unless otherwise agreed in writing.
Acceptance of Terms
By engaging our services, you acknowledge that you have read and understood these Terms & Conditions and agree to comply with them at all times.
